1. Who is CP Secure?

CP Secure is a leading provider of integrated security appliances that protect organizations from Internet-originated web and email based malware threats. Its CSG family of products delivers network protection, web filtering and email security in an easy-to-deploy, intuitive and feature-rich platform. CP Secure’s patent-pending stream-based scanning technology which NETGEAR just purchased enables real-time scanning of high-volume web and email traffic without degrading network performance, achieving up to five times better scanning performance than its competitors.



2. Why was NETGEAR interested in acquiring CP Secure?

By incorporating CP Secure’s integrated platform, NETGEAR will be able to offer SMBs a full line of security appliances for web, email and unified threat management within the next twelve months.



3. How does this acquisition fit into NETGEAR’s product strategy?

Currently NETGEAR’s security offerings consist of the ProSafe® Wired and Wireless VPN Firewalls and SSL VPN Concentrator. However, SMBs are increasingly seeking effective and easy-to-administer integrated solutions to safeguard their networks and applications from Internet threats and ensure business continuity. Incorporating the CP Secure platform allows NETGEAR to offer a whole new line of NETGEAR ProSecure™ integrated security and unified threat management appliances to satisfy SMBs’ needs.



4. How will this acquisition uniquely position NETGEAR over its competition?

Since its inception, CP Secure has continuously innovated new security products and technologies, such as the patent-pending stream-based scanning technology that enables real-time scanning of high-volume web and email traffic without degrading network performance, achieving up to five times better scanning performance than its competitors. NETGEAR believes that the easy-to-deploy, easy-to-administer and real-time scanning performance features of the enterprise-class CP Secure solution that NETGEAR just purchased will resonate with NETGEAR’s target small and medium business customers.



5. Is the CP Secure technology proven?

The CP Secure platform has been deployed in the field in the thousands, and by a number of large enterprises and governmental institutions.



6. Will NETGEAR assume full operational control of CP Secure, or will CP Secure remain autonomous?

Structured as an acquisition of certain assets of CP Secure, NETGEAR has acquired a select team, including over 40 engineering professionals, its pending patents, proprietary technologies, customer base and products in development. The CP Secure engineering team which is based in Nanjing will form NETGEAR’s new Nanjing engineering center and will focus on hardware, software and technology for network security appliances. Shuang Ji, CP Secure CEO, will become NETGEAR’s new VP of Engineering for security products.



7. Are the executives of CP Secure staying on with NETGEAR, and if so, in what capacity?

CP Secure CEO Shuang Ji will become NETGEAR’s new VP of Engineering for security products. The rest of his engineering team has joined NETGEAR and is forming the NETGEAR Nanjing engineering center.



8. What will happen to CP Secure’s existing products? Will NETGEAR continue to sell them under the NETGEAR brand name?

No, NETGEAR will not be selling CP Secure’s existing products. Instead, NETGEAR will release a full line of security appliances branded as ProSecure for web, email and unified threat management incorporating CP Secure’s platform in the next 12 months.



9. What will happen to the CP Secure brand? Will NETGEAR keep CP Secure as a sub-brand?

NETGEAR will not be keeping the CP Secure brand. The NETGEAR security appliance products will carry the sub brand of ProSecure.



10. What is the expected launch date of the first NETGEAR product based on CP Secure technology?

The ProSecure line of security appliances will launch in Q1 of 2009.



11. What does this mean for CP Secure’s partners? Will CP Secure’s partners be automatically folded into NETGEAR’s partner program?

NETGEAR intends to reach out to CP Secure’s partners and recruit some of them for the NETGEAR partner program.



12. Will NETGEAR partners be able to sell CP Secure products?

NETGEAR will not be selling CP Secure’s existing products. Instead, NETGEAR will release a full line of security appliances branded as ProSecure for web, email and unified threat management incorporating CP Secure’s platform in the next 12 months, which its partners will be able to sell.



13. How will NETGEAR handle existing support customers of CP Secure? How long will NETGEAR continue to support CP Secure’s products?

NETGEAR be assuming the support obligations for the existing CP Secure customers after closing?. NETGEAR will continue to support the existing CP Secure installed base until the earlier of (i) the time when the existing obligations expire or (ii) the three year anniversary of the Closing Date of the acquisition. NETGEAR will allow support renewals so long as they do not extend beyond the three year anniversary date of the Closing.



14. Who should CP Secure customers call for support?

- CP Secure customers should call NETGEAR customer support.



15. What benefits will CP Secure customers experience by this acquisition by NETGEAR?

With the combination of NETGEAR and CP Secure, CP Secure customers can expect an even broader range of security solutions, a more financially stable supplier and top notch worldwide support.
